Michael Orenstein counsels clients on securities and corporate finance matters including public and private security offerings, with an emphasis on REITs, mergers and acquisitions and federal securities disclosure and compliance matters. He advises public and private companies on corporate governance and general corporate matters. Mr. Orenstein also counsels public companies on compliance with applicable securities laws and stock exchange rules, including compliance with the Securities Act, the Exchange Act, Regulation FD and NASDAQ and NYSE applicable rules and regulations. He also represents clients on transactional matters, with experience in negotiating, structuring and documenting joint ventures, complex real estate transactions, acquisitions and dispositions. Mr. Orenstein has also advised clients on sophisticated real estate financing transactions, including mortgage and construction financing and refinancing.
