Karin Weiner advises clients at the intersection of finance, M&A, and private equity, with a practice that spans complex corporate transactions, alternative lending, and nonprofit governance. With a background at top-tier global firms, Karin brings big-firm experience to clients seeking sophisticated counsel with a more personal, agile approach.

Karin is known for structuring and negotiating highly tailored debt and equity transactions, including those involving both financing and M&A components. Her finance practice encompasses leveraged lending, mezzanine and senior secured financing, cross-border and project finance, hedge fund and lease financing, and a growing focus on alternative lending.

She regularly advises alternative financing lenders, non-bank credit platforms, and other emerging finance providers, many of whom become repeat clients, as the regulatory and commercial landscape continues to evolve.

In addition to her transactional work, Karin is a trusted advisor to nonprofit organizations, serving as outside general counsel on matters involving entity formation, tax exemption, corporate governance, grants and endowments, sponsorship agreements, and operational policies. She has represented national nonprofits, including one founded by a tennis legend, and has deep experience with both 501(c)(3) and 501(c)(4) organizations. Karin also formed a number of  youth sports nonprofits focused on providing afterschool athletics to underserved communities.

Karin’s clients include private equity funds, early-stage investors, not-for-profit institutions, alternative finance providers, and founder-led businesses that value the depth of her legal insight and the breadth of her commercial understanding, without the overhead of a large firm.
